ACCEPTANCE OF TERMS By accessing, browsing, or using the VisitPlus platform (the "Platform"), including its website, mobile applications, and related services, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you may not access or use the Platform. These Terms apply to all users, including but not limited to facility administrators, security personnel, visitors, contractors, and other parties interacting with VisitPlus. 2. DESCRIPTION OF SERVICES VisitPlus is a visitor management and security operations platform designed to: - Manage visitor sign-in and check-out processes - Facilitate host notifications and communications - Maintain security logs and audit trails - Provide real-time facility access and safety information - Enable communications via multiple channels, including SMS/MMS messaging The Platform may be provided as a standalone service or integrated with third-party systems (access control, CCTV, alert systems, etc.). The specific features and functionality available to you depend on your subscription level and license type. 3. USE OF THE PLATFORM 3.1 Permitted Use You agree to use VisitPlus only for lawful purposes directly related to: - Visitor management and facility access control - Security and operational workflows - Communication with authorized users - Compliance with applicable laws and regulations 3.2 Prohibited Use You agree NOT to: - Attempt to gain unauthorized access to the Platform, its systems, or any user accounts - Reverse-engineer, decompile, or attempt to discover the source code or underlying architecture - Disrupt, interfere with, or disable any feature or function of VisitPlus - Introduce malicious code, viruses, worms, or other harmful materials - Engage in any form of hacking, "phishing," or social engineering - Access or use the Platform for competitive intelligence or benchmarking - Exceed reasonable usage limits or send automated requests (bots, scrapers, etc.) without prior written consent - Share login credentials with unauthorized parties - Violate any applicable local, state, or federal law - Transmit threatening, harassing, defamatory, obscene, or otherwise inappropriate communications through the Platform - Use VisitPlus to collect, store, or process personal data of visitors or employees in violation of applicable privacy laws (GDPR, CCPA, FERPA, etc.) 3.3 User Conduct You agree to conduct yourself professionally and respectfully when using VisitPlus. Fortified Security reserves the right to suspend or terminate access for violations of this section. 4. USER ACCOUNT AND CREDENTIALS 4.1 Account Responsibility You are responsible for: - Creating and maintaining the confidentiality of your username and password - All activities that occur under your account, whether authorized or unauthorized - Notifying Fortified Security immediately of any unauthorized access or suspected security breach - Ensuring that all information provided during account registration is accurate, current, and complete 4.2 Account Updates You agree to promptly update your account information if any details change, including contact information, telephone numbers, or organizational affiliation. Failure to maintain current information may result in service interruptions or inability to receive important communications (including SMS/MMS messages). 4.3 Account Termination You may terminate your account at any time by contacting Fortified Security. Upon termination, your access to VisitPlus will be immediately revoked, and data retention will be governed by our Privacy Policy and applicable law. 5. SMS/MMS CONSENT AND COMMUNICATIONS 5.1 Consent to Receive Messages By providing your mobile phone number to Fortified Security or VisitPlus, you explicitly consent to receive periodic SMS or MMS messages from us. These messages may include: - Visitor notifications and alerts - Access updates and facility communications - Security alerts and incident notifications - Account notifications, subscription updates, and service information - Administrative communications related to your use of VisitPlus - Confirmations and receipts You acknowledge that consent to receive SMS/MMS messages is not a condition of using the Platform, and you may opt out at any time per Section 5.4 below. 5.2 Telephone Number Accuracy and Notification Obligations You affirm that the mobile number you have provided is accurate and currently active. You represent that: - You are the authorized subscriber or owner of any telephone number you provide - You have the authority to opt-in to receive communications at that number - You will immediately notify Fortified Security of any changes to your telephone number via email at info@fortifiedsecurity.com or through your account settings Failure to maintain current contact information may result in: - Missed critical notifications - Delivery of messages to an unintended recipient - Inability to contact you regarding your account or service 5.3 Message Content and Frequency Messages sent through VisitPlus may include: - Automated and non-automated SMS/MMS communications - Time-sensitive alerts requiring immediate action - Recurring updates related to your subscription, account, or facility operations Standard message and data rates may apply. The frequency of messages depends on your facility activity level and notification settings. You may adjust communication preferences through your account dashboard (where applicable) or by following the opt-out instructions in Section 5.4. 5.4 Opt-Out Instructions To unsubscribe from SMS/MMS messages from VisitPlus at any time, you may: A) Text STOP, END, CANCEL, UNSUBSCRIBE, or QUIT in response to any SMS/MMS message you receive from us B) Email [YOUR EMAIL] and specify that you wish to opt out of text messages C) Modify notification settings in your account dashboard (where applicable) Following any opt-out request, you will receive a final confirmation message. Please allow up to one business day for your request to be processed. Once you opt out, you will no longer receive SMS/MMS messages from VisitPlus; however, certain operational or administrative alerts may continue if required by law or contract. 5.5 Assistance and Support If you need assistance or have questions about VisitPlus or SMS/MMS messaging, you may: - Text "HELP" to any VisitPlus message number for automated assistance options - Email info@fortifiedsecurity.com - Call 1(270) 648-2143 - Access the Help Center in your account dashboard 6. DATA COLLECTION, PRIVACY, AND USE 6.1 Data Collection In connection with VisitPlus, including SMS/MMS services, we may collect: - Your mobile phone number and carrier information - Date, time, and content of your messages and communications - Device information and identifiers - Facility access logs and audit trails - Visitor information and sign-in records - IP addresses and browsing activity - Any other information you voluntarily provide 6.2 Data Use We use collected information to: - Deliver and improve VisitPlus services - Send SMS/MMS communications and notifications - Maintain security logs and audit trails - Comply with applicable laws and regulations - Investigate unauthorized access or abuse - Respond to legal inquiries or law enforcement requests - Analyze usage patterns and optimize the Platform 6.3 Privacy Policy Use of VisitPlus is governed by our separate Privacy Policy, which details: - How we collect, use, and store your data - Your rights regarding your personal information - Third-party data sharing practices - Data retention and deletion procedures - Cookie and tracking technology use - GDPR, CCPA, and other privacy law compliance By using VisitPlus, you consent to data collection and use as described in the Privacy Policy. If you do not agree with our privacy practices, you may not use the Platform. 7. THIRD-PARTY SERVICES AND INTEGRATIONS 7.1 Third-Party Providers VisitPlus may integrate with third-party services, including but not limited to: - Payment processors (e.g., Stripe) for subscription billing - Telecommunications carriers (AT&T, T-Mobile, Verizon, Sprint, Boost, U.S. Cellular, MetroPCS, InterOp, Cellcom, C Spire Wireless, Cricket, Virgin Mobile, and others) for SMS/MMS delivery - Access control systems (Gallagher, Lenel, etc.) - Video management platforms (Milestone, Avigilon, Genetec, etc.) - Cloud infrastructure providers 7.2 Third-Party Terms Use of third-party services is subject to their respective Terms of Service and Privacy Policies. Fortified Security is not responsible for: - Third-party service availability or performance - Data handling practices of third-party providers - Billing disputes with third parties - Service interruptions caused by third-party failures 7.3 Carrier Limitations SMS/MMS delivery is dependent on wireless carriers. Participating carriers in the United States include AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, U.S. Cellular, MetroPCS, InterOp, Cellcom, C Spire Wireless, Cricket, and Virgin Mobile, among others. Not all carriers may support VisitPlus SMS/MMS services. Fortified Security makes no guarantee regarding: - Message delivery speed or timing - Message delivery success rate - Carrier-side filtering or blocking of messages T-Mobile and other carriers are not liable for delayed or undelivered messages. 8. PAYMENTS AND SUBSCRIPTIONS 8.1 Subscription Plans VisitPlus is available under various subscription plans with differing features, usage limits, and pricing. The specific plan, pricing, and billing terms are detailed in your subscription agreement or order form. 8.2 Payment Processing Payments are processed through third-party payment providers (e.g., Stripe) and are subject to their terms and conditions. By subscribing, you authorize Fortified Security and its payment processor to charge your specified payment method. 8.3 Billing and Renewals - Subscriptions renew automatically on the renewal date unless you cancel in advance - Invoices are delivered via email and/or account dashboard - Payment failure may result in service suspension or termination - Refunds are subject to our Refund Policy (if applicable) 8.4 Cancellation You may cancel your subscription at any time by contacting info@fortifiedsecurity.com or through your account dashboard. Cancellation is effective at the end of the current billing period. No refunds will be provided for partial periods except as required by law. 8.5 Price Changes Fortified Security reserves the right to adjust subscription pricing with at least 30 days' notice. Continued use of VisitPlus constitutes acceptance of new pricing. 9. INTELLECTUAL PROPERTY RIGHTS 9.1 Ownership All content, software, trademarks, logos, service marks, trade names, domain names, and other intellectual property associated with VisitPlus ("Intellectual Property") are owned by, licensed to, or used with permission by Fortified Security. 9.2 Limited License Fortified Security grants you a limited, non-exclusive, non-transferable, revocable license to access and use VisitPlus solely in accordance with these Terms. You may not: - Copy, modify, or create derivative works - Remove or obscure proprietary notices - Sell, lease, or sublicense access to VisitPlus - Use VisitPlus to create a competing product or service 9.3 User-Generated Content Any content you upload, create, or submit through VisitPlus remains your property. By uploading content, you grant Fortified Security a worldwide, royalty-free, non-exclusive license to use, display, and distribute such content for the purpose of delivering VisitPlus services. 10. LIMITATION OF LIABILITY 10.1 Disclaimer of Warranties VISITME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FORTIFIED SECURITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: - MERCHANTABILITY - FITNESS FOR A PARTICULAR PURPOSE - NON-INFRINGEMENT - AVAILABILITY OR UNINTERRUPTED SERVICE We do not warrant that VisitPlus will be error-free, secure, or uninterrupted. 10.2 Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, FORTIFIED SECURITY SHALL NOT BE LIABLE FOR: - Any indirect, incidental, consequential, special, exemplary, or punitive damages - Loss of data, profits, revenue, or goodwill - Business interruption or service failure - Third-party claims or actions - Damages arising from unauthorized access or data breaches (except as required by law) This limitation applies even if Fortified Security has been advised of the possibility of such damages. 10.3 Liability Cap Fortified Security's total liability under these Terms shall not exceed the amount you paid for VisitPlus services in the 12 months preceding the claim. Some jurisdictions do not allow liability limitations; this cap may not apply to you. 10.4 Third-Party Liability Fortified Security is not liable for: - Failure of third-party services or integrations (SMS carriers, payment processors, access control systems, etc.) - Data loss or corruption caused by third parties - Unauthorized access resulting from third-party compromise - Service failures beyond our control 11. INDEMNIFICATION 11.1 Your Indemnification Obligations You agree to indemnify, defend, and hold harmless Fortified Security, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: - Your violation of these Terms or applicable law - Your misuse of VisitPlus - Your infringement of third-party intellectual property rights - Your violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, GDPR, CCPA, or similar laws - Your failure to provide an accurate phone number or unauthorized provision of a telephone number not owned by you - Your failure to notify us of changes to your telephone number or contact information - Your breach of representations in Section 4 (Account and Credentials) - Claims arising from content you upload or submit through VisitPlus - Claims by third parties that your use of VisitPlus infringes their rights 11.2 Procedure You agree to: - Assume the defense of any claim, with counsel reasonably acceptable to Fortified Security - Keep Fortified Security informed of all proceedings - Cooperate fully in the defense and settlement of claims - Not settle claims without Fortified Security's prior written consent 12. TERM AND TERMINATION 12.1 Term These Terms are effective as of the date you first access VisitPlus and continue as long as you use the Platform (or until earlier termination per this section). 12.2 Termination by User You may terminate your use of VisitPlus at any time by: - Canceling your subscription (per Section 8) - Deleting your account - Ceasing all use of the Platform 12.3 Termination by Fortified Security Fortified Security may suspend or terminate your access to VisitPlus immediately and without prior notice if: - You violate these Terms or applicable law - You engage in unauthorized access, hacking, or abuse - You harass, threaten, or defame other users - We are required to do so by law or court order - You fail to pay subscription fees - You violate the intellectual property or confidentiality rights of third parties For non-material violations, we will provide 30 days' notice and an opportunity to cure before termination. 12.4 Effects of Termination Upon termination: - Your access to VisitPlus will immediately cease - You must cease all use of the Platform and related Intellectual Property - Sections 6, 9, 10, 11, and 13 (and other provisions that by their nature survive termination) will continue in effect - Data retention is governed by our Privacy Policy and applicable law 12.5 No Refund for Termination Termination by Fortified Security for breach does not entitle you to a refund of prepaid fees. 13. GOVERNING LAW AND DISPUTE RESOLUTION 13.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. You agree that any legal action or proceeding arising from or relating to these Terms will be brought exclusively in the state or federal courts located in Frankfort, Kentucky. 13.2 Dispute Resolution (Optional - Include if Applicable) Before initiating litigation, you agree to attempt to resolve disputes through: - Informal negotiation (30 days) - Mediation (if negotiation fails) Only after exhausting these remedies may you pursue litigation or arbitration. 13.3 Class Action Waiver You agree that any legal proceedings will be conducted on an individual basis and not as a class action, collective action, or representative action. You waive your right to participate in class-based litigation. 14. CHANGES TO TERMS 14.1 Right to Modify Fortified Security may update, modify, or amend these Terms at any time, in its sole discretion. Changes will be effective upon posting to the VisitPlus website or application. 14.2 Notice of Changes Fortified Security will provide notice of material changes via: - Email to your registered account address - Prominent notice on the Platform - In-app notification 14.3 Acceptance of Updated Terms Continued use of VisitPlus after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of VisitPlus and cancel your subscription. 15. GENERAL PROVISIONS 15.1 Entire Agreement These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Fortified Security regarding VisitPlus. All previous negotiations, understandings, and agreements, whether written or oral, are superseded. 15.2 Severability If any provision of these Terms is found to be unenforceable, illegal, or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed. The remaining provisions shall remain in full force and effect. 15.3 Waiver Fortified Security's failure to enforce any right or provision does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Fortified Security. 15.4 Assignment You may not assign, transfer, or delegate your rights or obligations under these Terms without Fortified Security's prior written consent. Any attempted assignment without consent is void. Fortified Security may assign these Terms to any successor or affiliate without notice or consent. 15.5 No Third-Party Beneficiaries These Terms are for the exclusive benefit of you and Fortified Security. No third party has any rights or claims under these Terms. 15.6 Notices Any notices, demands, or communications required under these Terms must be in writing and delivered by: - Email to 221 Remington Way, Hickory, KY 42051 - Certified mail to info@fortifiedsecurity.com - Personal delivery to the other party Notices are effective upon receipt. 15.7 Severability of Representations You warrant and represent that you: - Possess all necessary rights, powers, and authority to accept these Terms - Are at least 18 years of age (or have obtained parental/guardian consent) - Have the legal capacity to enter into binding agreements - Are not subject to sanctions, import restrictions, or similar legal limitations - Accepting these Terms does not conflict with any other agreement or obligation to which you are bound 15.8 Force Majeure Fortified Security shall not be liable for failures to perform obligations caused by events beyond reasonable control, including: - Natural disasters, acts of God - War, terrorism, civil unrest - Government actions or regulations - Pandemics or health crises - Third-party infrastructure failures - Internet or telecommunications outages During force majeure events, Fortified Security may suspend services without liability, provided reasonable notice is given. 16. PARTICIPATION REQUIREMENTS By using VisitPlus, you affirm and represent that: - You are at least 18 years of age - You possess a device capable of two-way messaging (if using SMS/MMS features) - You are a customer of a participating wireless carrier (if receiving SMS/MMS) - You have an active text messaging service - Your device and carrier support the VisitPlus service - All information you provide is accurate and truthful Compatibility of cell phone models, messaging capabilities, and service availability may vary by carrier and device. 17. WIRELESS PROVIDER TERMS AND CARRIER LIABILITY You acknowledge that: - Your wireless carrier's standard rates for SMS/MMS, data, and other services may apply - While Fortified Security does not charge additional fees for SMS/MMS messages, your carrier may charge for these messages under your existing plan - You are responsible for monitoring your carrier's usage and plan limits - Fortified Security is not responsible for carrier-related charges, delays, or delivery failures Please contact your wireless provider for details regarding your plan, messaging limits, and applicable charges. 18.
